1. Acceptance of Terms

Welcome to EAM (Endless Automotive Management). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and EAM ("we," "us," "our," or "Company") governing your access to and use of the EAM platform, including our website at eamportal.net, web application, mobile applications, APIs, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

EAM is a cloud-based software-as-a-service (SaaS) platform designed for automotive service businesses, including but not limited to repair shops, wrap studios, and detailing businesses. The Service provides tools for:

  • Repair order and job management
  • Customer relationship management (CRM)
  • Scheduling and appointment booking
  • Estimates, invoicing, and payment processing
  • Inventory and parts management
  • Digital vehicle inspections
  • Team management and time tracking
  • Customer and business AI agents
  • SMS and email communications
  • Reporting and business analytics
  • Wrap and detail project management

EAM operates as a multi-tenant platform. Each shop or business account operates in an isolated environment, ensuring that your data is kept separate from other customers on the platform.

3. Account Registration & Security

To use the Service, you must create an account by providing accurate, complete, and current information. Account authentication is managed through our identity provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Responsibilities

  • You must provide truthful and accurate information during registration and keep your account information up to date.
  • You are responsible for safeguarding your login credentials. Do not share your password with anyone.
  • You must notify us immediately at support@eamportal.net if you suspect any unauthorized access to or use of your account.
  • You are solely responsible for all activity that occurs under your account, whether or not you authorized that activity.

Team Members

If you invite team members to your account, you are responsible for their use of the Service and for ensuring they comply with these Terms. You may manage team member roles and permissions through the settings area of the Service.

4. Subscription Plans & Billing

EAM offers the following subscription plans:

  • Base Plan: $299 per month — includes core shop management features, scheduling, invoicing, CRM, and standard support.
  • Advanced Plan: $499 per month — includes all Base features plus AI agents, advanced reporting, integrations, and priority support.

Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring monthly basis. You agree to provide valid and current payment information and to update it promptly if it changes.

Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription fee at the time of renewal. We will notify you of any price changes at least 30 days in advance.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@eamportal.net. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your account will be downgraded and you will lose access to paid features. No refunds will be issued for partial billing periods.

Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or government-imposed fees associated with your use of the Service, except for taxes based on our net income.

5. Free Trial

EAM offers a 1-month free trial for new customers. The free trial provides access to the full feature set of the Service so you can evaluate whether it meets your needs. No credit card is required to start the free trial.

At the end of the trial period, you will be prompted to select a subscription plan and provide payment information to continue using the Service. If you do not subscribe, your access to paid features will be suspended, though your data will be retained for a reasonable period to allow you to subscribe at a later date.

We reserve the right to modify or discontinue the free trial offer at any time, at our sole discretion. Free trial eligibility is limited to one trial per business entity.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any purpose that is illegal or prohibited by these Terms.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Upload, transmit, or distribute any viruses, malware, or other harmful code through the Service.
  • Use the Service to send unsolicited bulk communications (spam) or violate anti-spam laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.
  • Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
  • Misrepresent your identity or affiliation with any person or entity.
  • Use the Service to store or transmit content that infringes on the intellectual property rights of others.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this policy, including suspending or terminating the offender's account and reporting such activity to law enforcement authorities.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, images, audio, video, and the selection and arrangement thereof (collectively, "EAM Content"), is the exclusive property of EAM or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not include any right to:

  • Modify, adapt, or create derivative works of the Service.
  • Use EAM trademarks, logos, or brand elements without our prior written consent.
  • Sublicense, lease, or transfer your rights under this license to any third party.

8. Your Data & Data Ownership

You retain full ownership of all data, content, and information that you or your team members submit, upload, or generate through the Service ("Your Data"). This includes but is not limited to customer records, vehicle information, repair orders, invoices, photos, inspection reports, and communications.

License to Your Data

By using the Service, you grant us a limited, non-exclusive license to use, process, store, and display Your Data solely for the purpose of providing and improving the Service. We will not sell, rent, or share Your Data with third parties for their marketing purposes.

Data Isolation

EAM is a multi-tenant platform with strict data isolation. Your shop's data is logically separated from all other customers on the platform. No other customer can access your data, and you cannot access the data of any other customer.

Data Export

You may request an export of Your Data at any time by contacting us at support@eamportal.net. We will provide your data in a commonly used electronic format within a reasonable timeframe.

Data Deletion

Upon termination of your account and following any applicable data retention period, we will delete Your Data from our active systems. Backups containing Your Data may persist for up to 90 days before being permanently removed. You may request earlier deletion by contacting us at support@eamportal.net.

9. AI Agent Services

EAM provides AI-powered agent features, including a customer-facing AI agent and a business-owner AI agent. These agents are powered by Anthropic Claude and are designed to assist with tasks such as answering customer inquiries, generating estimates, summarizing business data, and providing operational insights.

AI-Generated Content Disclaimer

Content generated by AI agents is provided for informational and assistive purposes only. AI-generated responses, recommendations, estimates, and analyses may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving any AI-generated content before relying on it or sharing it with your customers.

EAM does not guarantee the accuracy, completeness, or reliability of any AI-generated content. AI agents are tools to assist your business operations and should not be considered a substitute for professional judgment, legal advice, mechanical diagnosis, or any other form of expert consultation.

AI Data Usage

AI agents may process Your Data (such as customer records, vehicle information, and repair history) to generate responses and recommendations. This processing is performed solely to provide the Service to you. Your Data is not used to train third-party AI models.

10. Third-Party Services

The Service integrates with and relies on certain third-party services to deliver its functionality, including but not limited to:

  • Stripe for payment processing and subscription billing.
  • Clerk for authentication and identity management.
  • Twilio for SMS messaging and communication features.
  • Anthropic for AI agent capabilities powered by Claude.
  • Amazon Web Services (AWS) for cloud infrastructure, hosting, and data storage.

Your use of the Service may be subject to the terms and conditions of these third-party providers. We are not responsible for the availability, accuracy, or reliability of third-party services. Any issues arising from third-party services are governed by the respective provider's terms.

When you use features that rely on third-party services (e.g., sending SMS messages via Twilio or processing payments via Stripe), you agree to comply with the applicable terms and laws governing those services, including telecommunications regulations and payment card industry standards.

11. Disclaimers & Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EAM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the use of the Service will be accurate or reliable.
  • Any errors in the Service will be corrected within any particular timeframe.
  • The Service will meet your specific requirements or expectations.

We strive to maintain high uptime and reliability, but we do not guarantee 100% availability. Scheduled maintenance, infrastructure updates, and unforeseen events may result in temporary service interruptions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO EAM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless EAM and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights).
  • Any content or data you submit, upload, or transmit through the Service.
  • Your use of SMS, email, or other communication features in a manner that violates applicable telecommunications laws or regulations.

14. Termination

You may terminate your account at any time by contacting us at support@eamportal.net or through your account settings. Upon voluntary termination, your subscription will remain active until the end of the current billing period.

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, if we reasonably believe that:

  • You have violated these Terms or our Acceptable Use Policy.
  • Your use of the Service poses a security risk to us or other customers.
  • We are required to do so by law or a valid legal order.
  • Your account has been inactive for an extended period.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

16. Changes to Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
